1. Quotations are valid for 30 days from the date of quotation.

2. Payment terms: 40% Deposit with order before work starts.
50% Payment after factory acceptance test prior to despatch. These products are as agreed at the time of quotation. Any other trials will be subject to additional costs.
10% Final balance required 30 days after delivery or request to deliver.
Note: credit card payments can be accepted but may be subject to a handling charge; e.g. 2%.

3. All prices are quoted as ex-works. Delivery costs will be charged to the customer’s account.

4. All terms expressed or implied relating to the quality of goods are warranties only breach of which gives no right to reject the goods or terminate the contract in any circumstances whatsoever.

5. Notwithstanding delivery and the passing of risk in the goods, or any provision of these conditions, the goods shall remain the sole and absolute property of Unison Ltd as legal and equitable owner until Unison Ltd has received in cash or cleared funds payment in full of all amounts owing to Unison Ltd by the buyer on any accounts whatsoever. Unison Ltd may maintain an action for the price of the goods notwithstanding that Unison Ltd retains ownership of them. Upon final payment Unison will issue the software license for the use of the software purchased with the machine. The license is for the use with that machine only unless part of the contract.

6. In the event of payment being overdue in whole or in part or any act or proceeding involving the buyers solvency being taken the buyers right to use or sell the goods shall cease and Unison Ltd (without prejudice to any other rights it may have) may by its servants or agents enter upon the premises of the buyer to recover any goods yet unpaid by the buyer.

7. The buyer until the happening of any of the events referred to in the clause above shall keep the goods separate and identifiable as the property of Unison Ltd and properly stored, protected and insured until the total amount of the indebtedness to Unison Ltd shall be discharged.

8. Any provision herein set out shall, to the extent to which it would by virtue of the Unfair Contract Terms Act 1977, be of no effect as against a person dealing as a consumer, not apply in respect of a sale to a person so dealing.

9. If any part of these conditions is found by any Court or other competent authority to be valid, unlawful or unenforceable then such part shall be severed from the remainder of these conditions, which shall continue to remain valid and enforceable to the fullest extent permitted by law.

10. In no event can Unison Ltd or its suppliers be liable for any special, incidental, consequential damages or losses whatsoever arising out of the use, or inability to use this product. Even if Unison Ltd have been advised of the possibility of such damages.

11. Any costs incurred before cancellation will be deducted from the deposit already paid. If the costs incurred are greater than the deposit money paid then Unison Ltd is to be compensated for these additional costs.

12. All prices are subject to VAT and duties at the applicable rate at the time of invoice.

13. Delivery times will be confirmed at the time of ordering. Manufacture will not commence until Unison Ltd receives both the deposit cash and this signed Terms and Conditions form.

14. The conformation that the machine meets the specification as agreed when the order was placed will be subject to trials and approvals by the customer at our works prior to dispatch. Tooling and Materials are to be supplied by the customer unless part of the contract. Acceptance trials are allocated two full working days in all cases, additional trial periods may be subject to additional costs.

15. Full training will be given in the use of the machine and its software following the acceptance trials at our works. Our engineer will spend one full day on site giving these instructions in the use of the machine

16. Unison Ltd will warrant all parts supplied for 12 months or 1800 hours use, whichever is first. This warranty provides at Unison Ltd option, free replacement or repair of components causing loss of function due to defects in workmanship. This warranty does not cover loss of function caused by normal wear and tear, electrical surges, strong magnetic fields, improper use or physical damage, such as falling, dropping, hammering, hitting or collisions. Unison Ltd alone retains the right to determine at its location the extent of warranty liability and the appropriate remedies to restore the function.

17. Unison Ltd will not be responsible for any delays in deliveries or suspension of deliveries caused by strikes, lockouts, war, fire, breakdown of plant and machinery or any cause beyond their control.

18. In no circumstances whatsoever shall Unison Ltd liability (in contract, tort or otherwise) to the buyer arising out of or in connection with the contract or the goods supplied hereunder exceed the invoice price of the particular goods concerned and all liability (if any) for any indirect or consequential loss (howsoever arising) is expressly excluded. Unison Ltd shall be under no liability for loss or damage or delay howsoever arising caused by circumstances outside his control.

19. All crates, pallets and other packing materials are charged extra.

20. Where these Terms and Conditions in any way conflict with any terms and conditions stipulated by the buyer then such terms or conditions stipulated by the buyer shall be deemed to be ineffective to the extent that they are inconsistent herewith.

21. Unison Ltd suggests that this machine is sited in a controlled area to prevent access by unauthorised personnel and the all local H & S regulations are adhered to. The machine should only be operated in accordance with the guidelines set down in the machine manual.

22. The acceptance of our quotation and the placing of an order, subjects the customer to the above terms and conditions.
